Please read these Terms & Conditions (“Terms”) carefully before using the PACOOP Potatoes website (“Site”). By accessing or using the Site, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not use the Site.
Parties & Interpretation
In these Terms, “we,” “us,” “our” refers to PACOOP Potatoes (Pennsylvania Co-operative Potato Growers). “You,” “user,” “visitor” refers to anyone accessing or using the Site, including buyers, growers, or general visitors.
Use of the Site
You may only use the Site for lawful purposes, and in a way that does not infringe on rights, restrict or inhibit others’ use.
You agree not to use the Site in any way that may cause damage, disable, overburden, interfere with performance, or impair the Site.
You agree not to attempt to gain unauthorized access to any part of the Site, other accounts, systems, or networks connected to the Site.
Intellectual Property
All content on the Site (text, images, logos, graphics, data, etc.) is owned by PACOOP Potatoes or its licensors, and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, transmit, display, or otherwise use the content except as expressly permitted by these Terms or with our written permission.
User Contributions & Submissions
If you submit comments, feedback, or other content (collectively “User Content”) through the Site (e.g. contact forms, forums, etc.), you grant us a nonexclusive, royalty-free, perpetual, worldwide license to use, display, reproduce, modify, distribute, and adapt such content.
You represent and warrant that you own or have the rights to submit such content and that it does not violate any third-party rights.
We reserve the right to remove, edit, or not publish any User Content at our discretion.

a) Disclaimers
The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, noninfringement, or accuracy.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or harmful components.
b) Limitation of Liability
To the fullest extent permitted by law, in no event shall PACOOP, its officers, directors, employees, affiliates, or licensors be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Site or inability to use the Site.
Our total liability for any claim arising from or related to the Site or these Terms shall not exceed the greater of (a) the fees you have paid us (if any) or (b) USD 100 (or a minimal amount as permitted by law).
Indemnification
You agree to indemnify, defend, and hold harmless PACOOP, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from or related to (a) your violation of these Terms, (b) your use of the Site, (c) your User Content, or (d) your violation of any rights of a third party.
Modifications to the Terms
We may revise and update these Terms from time to time at our sole discretion. We will post the updated version here with a revised “Last Updated” date. By continuing to use the Site after such changes, you accept the modified Terms.
Termination
We reserve the right, in our sole discretion, to suspend or terminate your access to the Site (or portions thereof) at any time, with or without notice or liability, for any reason, including if you breach these Terms.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania (or appropriate U.S. jurisdiction), without regard to conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Site shall be resolved in the state or federal courts located in [City/County, Pennsylvania], and you consent to personal jurisdiction in such courts.
Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be struck and the remaining provisions will be enforced.
Entire Agreement
These Terms (together with any documents expressly incorporated such as the Privacy Policy) constitute the entire agreement between you and PACOOP concerning your access to and use of the Site, superseding any prior agreements.
